These Terms of Service (“Terms”) govern your use of the NexWeave platform. By creating an account or using the Service you agree to these Terms. If you’re accepting on behalf of a company, you represent that you have authority to bind that company.
1. The Service
NexWeave provides AI risk intelligence tooling (Policy X-Ray, AI Audit, AIRISK analysis, Regulations, Certifications, Findings workspace) and operates a broker marketplace where your quote requests are routed to licensed insurance brokers. NexWeave is not a licensed insurance producer or broker. Coverage placement, binding, and advice are provided solely by the brokers that unlock your request.
2. Accounts
You must provide accurate information when registering. You’re responsible for safeguarding credentials. One account per organization. We may suspend or terminate accounts that violate these Terms.
3. Acceptable Use
You agree not to:
- Upload content you don’t have the right to share.
- Use the Service to probe, scan, or load-test systems you don’t own.
- Reverse-engineer, scrape, or copy our Service for a competing product.
- Use the Service for illegal activity or harassment.
- Bypass rate limits, auth, or abuse the AI Audit agent against targets you don’t own.
4. AI Outputs — No Legal/Insurance Advice
AI-generated outputs on NexWeave (analysis summaries, findings, tailored remediation plans, web scan reports) are estimates, not legal or insurance advice. They may be incomplete or wrong. You must verify any material finding with a qualified professional (attorney, compliance officer, licensed broker) before acting on it.
Per EU AI Act Article 50, we disclose that Claude (Anthropic) powers our AI features. AI-generated content is labeled as such in the UI.
5. Broker Marketplace
When you submit a quote request, you authorize NexWeave to share the submission package (firmographics, AIRISK gap summary, incumbent coverage, requested schedule, your name and verified work email) with up to three brokers that meet our appetite criteria. Brokers pay NexWeave for access to the unlock. NexWeave receives a referral fee from participating brokers; this does not increase the premium you pay. Brokers on the marketplace warrant that they hold valid licenses in all jurisdictions where they operate. NexWeave is not liable for the acts of brokers.
6. Fees, Trials, and Cancellation
Paid plans auto-renew monthly. You may cancel anytime from the Billing page; cancellation takes effect at the end of the current billing period. No refunds for partial months unless required by law.
Free trials require a valid payment method and auto-convert to the selected plan at the end of the trial period. You will not be charged during the trial.
7. Intellectual Property
You retain ownership of all data and content you upload. You grant NexWeave a limited license to process it solely to provide the Service. NexWeave retains ownership of the platform, including AI prompts, canonical taxonomies, the AIRISK specification (CC BY 4.0), and the Service’s UI.
8. Confidentiality
Each party will protect the other’s confidential information with reasonable care and not disclose it except to personnel with a need to know, who are bound by confidentiality obligations.
9. Warranties & Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXWEAVE DOES NOT WARRANT THAT AI OUTPUTS ARE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR COMPLIANCE OBLIGATIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY’S LIABILITY SHALL EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS BEFORE THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You will defend and indemnify NexWeave against third-party claims arising from (a) your breach of these Terms, (b) your misuse of AI outputs, or (c) content you upload in violation of others’ rights.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts of Delaware.
13. Changes
We may update these Terms. Material changes will be notified via email 30 days before they take effect. Continued use after the effective date constitutes acceptance.
